Eclipse Terms of Service

1. Acceptance of Terms

By accessing or using the Eclipse Interactive website (the “Site”) and services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the Terms, then you may not access the Services. 

2. Definitions

  • “Eclipse Interactive”, “we”, “us”, or “our” refers to Eclipse Interactive, Inc., a company incorporated in Spain with its registered address at Calle Juan Giner 19, 46020, Valencia, Spain.
  • “Customer”, “you”, or “your” refers to the individual, company, or organization accessing or using the Services.
  • “Content” refers to any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials, whether publicly posted or privately transmitted.

  • You are responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your account.

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit the use and enjoyment of the Services by any third party. This includes, but is not limited to:

  • Not engaging in any activity that is harmful, abusive, harassing, threatening, defamatory, obscene, or otherwise objectionable.

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Eclipse Interactive, its licensors, or other providers of such material and are protected by Spain and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Services may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible or liable for:

  • The availability or accuracy of such websites or resources.
     
  • The content, products, or services on or available from such websites or resources.
     

7. Disclaimer of Warranties

The Services are provided “as is” and without warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, Eclipse Interactive disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall Eclipse Interactive, its affiliates, directors, officers, employees, agents, suppliers, or licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify, and hold harmless Eclipse Interactive, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.

11. Termination

We may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. 

12. Waiver and Severability

No waiver of by Eclipse Interactive of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Eclipse Interactive to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
